How we can help your business



We assist our clients in developing an appropriate buy or sell-side transaction structure having regard to their commercial requirements (e.g. facilitation of any potential future bolt-on/carve-out transactions, refinancing or cash repatriation) and any associated direct or indirect tax implications. 

We also work closely with our clients and their advisors as part of the pre and post deal execution to ensure the structure is implemented and maintained as intended.




We offer buy-side and vendor transaction and due diligence support for our clients throughout the deal lifecycle.

As part of our service, we will analyse and quantify industry, country and deal-specific tax risks or opportunities and support clients in mitigating tax risks (and monetising opportunities) contractually, through purchase price adjustments, and/or via insurance.

We also provide assistance from a tax perspective with the drafting and negotiation of transaction documents; including any tax warranties and indemnities and the treatment / calculation of current and deferred taxes in the Completion Accounts. If desired, we deal with 3rd parties who may require access or reliance on our reports such as banks or W&I insurance underwriters.




We work closely with our clients and their advisors to tailor the most appropriate fund structure for their requirements to ensure all stakeholders (i.e. GP, LP  and investee) are taxed appropriately over the life of  the fund across multiple jurisdictions, having particular regard to Australia’s MIT and VCLP regimes.

We are experienced in tax structuring for Australian domestic and cross-border transactions involving financial sponsors, including Private Equity and Venture Capital, Sovereign Wealth / Pension Funds, Corporates & Family Offices: 

  • buy-side and sell-side M&A

  • external project financing and shareholder loans

  • initial public offerings (and planning for exit)

  • privately placed equity & debt




Given our deep transactional experience and networks, we can help introduce our clients to proprietary transaction ideas. This can include acting as a trusted, independent “sounding board” to Investment Committees in relation to investment decisions i.e. Historical tax risks, financing and managing entry and exit taxes across Asia Pacific.
