Fund Structure & Design

Our Trans-Tasman team is experienced in supporting the development of tax-efficient fund structures that meet all stakeholder requirements (i.e. GP, LP and portfolios) and ensure that each are taxed appropriately over the life of the fund having particular regard to cross-jurisdictional tax regimes, whether it be for a closed ended fund or on a ‘deal by deal’ basis.

Tax Due Diligence

Our team provides the full scale and breadth of tax due diligence services across Australia and New Zealand, with support for other jurisdictions through the network.

Approach can vary from ‘desktop’ issue identification to a pragmatic ‘red flags’ report or a full detailed due diligence report (appropriate for insurance and lending purposes).

Buy-side & Sell-side Tax Structuring

At GreenMount we develop tax efficient buy or sell-side transaction structures that are fit-for-purpose, having regard to your commercial requirements (e.g. facilitation of future bolt on/carve-out transactions, refinancing, profit repatriation and exit considerations).

We work closely with you and your advisors throughout the deal process to ensure the structure is implemented appropriately.

Management Equity Plans

We design and implement tax-efficient management equity plans that meet your business objectives and advise on the associated tax compliance and reporting obligations.

Post Completion/ Implementation

Operating Partner Services

GreenMount’s Operating Partner Services team focuses on the needs of private capital providers (debt and equity) seeking to optimise the performance of portfolio companies.

Tax structuring support for Allegro in relation to the initial acquisition of Greenlit Brands General Merchandise, and the subsequent restructure and sale of Harris Scarfe, and IPO of Best & Less. 

Tax structuring and due diligence on the acquisition of Orange Equipment Hire. Tax structuring and due diligence support for Navis Capital in relation to the acquisition of Software Combined.

Financial service/retail – GreenMount was engaged over an extended period to support the c-suite of a fast-growing financial services/retail business with cutting edge ecommerce capability.  We worked with the business over an 18 month period to successfully identify its growth path, performance improvement opportunities and associated capital needs.

Green energy provider – engaged by its European owners, GreenMount was engaged to help establish the Australian business from scratch including providing local director support and strategic growth advice.

Construction sector – engaged by a leading private equity fund to assess the reasons for underperformance of a significant ANZ industry participant, devise a new strategic plan and implement it.  This involved GreenMount personnel joining the Board, taking on the role of Interim CEO for several months and working weekly with the new CEO to bring about change through cost improvement, revenue growth and M&A initiatives.
